This Vendor Agreement ("Agreement") is entered into between Ship It ("Company", "ShipIt") and the registered outlet or business ("Vendor") listing products for sale and delivery through the Ship It platform ("Platform").
The Vendor is an independent business and not an employee, agent, partner, or representative of ShipIt. This Agreement does not create a partnership, joint venture, or franchise relationship between the parties.
The Vendor must provide accurate and current business details, including legal name, GST registration, PAN, and a valid FSSAI license for each outlet listed on the Platform. The Vendor is responsible for keeping this information up to date and for renewing any license before it expires.
The Vendor is solely responsible for the accuracy of its menu, product descriptions, pricing, and stock availability, and for the quality, safety, and legality of everything it lists. Prices shown to customers reflect the Vendor's own pricing (including any discount the Vendor sets), any outlet-specific price the Vendor has configured for a listing, and any commission the Vendor has agreed to under Section 5.
The Vendor agrees to accept or reject incoming orders within the acceptance window shown in the vendor portal, to prepare accepted orders within the estimated preparation time it has configured, and to notify ShipIt promptly if an item in an already-placed order becomes unavailable. An order not acted on within the acceptance window may be automatically cancelled.
The Vendor agrees to pay ShipIt a commission on the value of items sold through the Platform, calculated per product, per menu category, or as an outlet-wide default rate, as configured in the vendor portal or agreed with ShipIt directly. Commission applies to the item value only, not to delivery fees or taxes collected on ShipIt's behalf. ShipIt may revise its standard commission structure with reasonable prior notice to the Vendor.
ShipIt will remit the Vendor's net earnings (item revenue, less commission and any applicable deductions) on the payout schedule agreed with the Vendor (weekly, biweekly, or monthly), along with an itemized settlement statement. Delivery fees collected from customers are not part of the Vendor's revenue and are not settled to the Vendor.
If a customer is refunded for an order after the corresponding settlement has already been paid to the Vendor, the value of that refund (and any commission already credited against it) will be deducted from the Vendor's next settlement, or invoiced to the Vendor directly if no further settlement is due. ShipIt may also reverse a settlement already paid if it is later found to be incorrect, whether due to a calculation error, duplicate payment, fraud, or a customer dispute upheld after payment, and recover the resulting amount from the Vendor's future settlements or directly from the Vendor. A settlement that has not yet been paid may be corrected or cancelled by ShipIt at any point before payment without requiring the Vendor's consent.
The Vendor is responsible for keeping its listed operating hours accurate, and may pause new orders or mark an outlet temporarily closed (with an expected reopening time) directly from the vendor portal when it is unable to fulfill orders. The Vendor agrees to do so promptly rather than accepting orders it cannot fulfill.
Where a paid order can no longer be fulfilled in full, the Vendor may mark the affected item unavailable, and the corresponding value will be refunded to the customer and excluded from the Vendor's commission for that item. Repeated avoidable cancellations or unavailable items may affect the Vendor's standing on the Platform.
The Vendor (through its account owner) may create staff or manager accounts to help operate its outlet(s), with access limited to what the Vendor grants them. The Vendor is responsible for the actions taken by any account it creates, and for promptly removing access when a staff member no longer needs it.
The Vendor must keep customer information obtained through the Platform confidential and use it only to fulfill orders. The Vendor may not sell, share, or use customer data for marketing outside the Platform without the customer's consent.
ShipIt reserves the right, in its sole discretion, to suspend, deactivate, or terminate a Vendor's account or any outlet, temporarily or permanently, at any time, with or without cause and with or without prior notice. This includes, without limitation, cases involving a policy violation, a food-safety or licensing concern, repeated order-fulfillment failures, suspected fraud, or any conduct ShipIt reasonably believes poses a risk to customers, delivery partners, or the Platform. Where practicable, ShipIt will inform the Vendor of the reason for the suspension or termination. The Vendor may request to close its account or an outlet at any time, subject to settling any outstanding orders and amounts owed.
ShipIt provides the technology platform connecting Vendors, customers, and delivery partners, and is not responsible for the quality, safety, or legality of a Vendor's products. The Vendor is solely responsible for complying with all applicable food-safety, licensing, and consumer- protection laws.
ShipIt reserves the right to modify, update, or replace this Agreement, and any commission, settlement, or policy terms referenced in it, at any time and at its sole discretion. Material changes will be communicated to the Vendor through the vendor portal, email, or by posting an updated version of this Agreement with a revised effective date. Continued use of the Platform after an updated Agreement takes effect constitutes the Vendor's acceptance of the revised terms.
This Agreement shall be governed by the laws of India, and any dispute arising from it shall be subject to the exclusive jurisdiction of the courts having jurisdiction over ShipIt's registered place of business.
By registering as a Vendor and listing products for sale on the Platform, the Vendor agrees to this Agreement and to any commission, settlement, or policy terms configured for its account.
